Services are delivered on either a one-time project basis, weekly retainer, or monthly subscription, as detailed on our website or within an agreed custom proposal.
2. Pricing and Currency
All prices listed on the website and quoted in proposals are denominated in United States Dollars (USD). Digital Prime Services LLC reserves the right to modify package rates; however, any price adjustment will not affect active agreements or previously accepted quotes. Custom quotes reflect the defined scope agreed upon in writing.
3. Client Responsibilities
To enable timely and successful completion of deliverables, the client agrees to:
- Provide complete, accurate, and timely instructions, assets, content, text, graphics, and access credentials necessary for Digital Prime Services LLC to perform the work
- Maintain backups of all original assets supplied to us
- Designate a primary contact point for questions, approvals, and reviews
- Review submitted deliverables promptly and provide consolidated feedback
4. Payments and Invoicing
Payment terms are specified on the invoice or order confirmation. Unless otherwise agreed in writing, one-time projects require payment prior to commencement or upon agreed milestone stages. Retainers and recurring subscriptions (weekly or monthly) are billed in advance for each billing cycle. Failure to settle invoices in a timely manner may result in suspension of work.
5. Revisions and Scope Changes
Digital Prime Services LLC works closely with clients to achieve satisfaction. Revisions included within standard tiers apply to the originally agreed scope. Any fundamental change in scope, architecture, or creative direction requested after work has started will be scoped and quoted separately.
6. Intellectual Property Rights
Upon receipt of full payment, all completed custom deliverables produced specifically for the client become the client's intellectual property. Digital Prime Services LLC retains ownership of pre-existing tools, proprietary frameworks, code templates, and standard design assets used in creating deliverables. Digital Prime Services LLC reserves the right to showcase non-confidential finished work in its professional agency portfolio unless a Non-Disclosure Agreement (NDA) specifies otherwise.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Digital Prime Services LLC and its members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from or related to the use of our services or deliverables. Our total liability for any claim shall not exceed the total amount paid by the client to Digital Prime Services LLC for the specific service giving rise to the claim.
8. Governing Law and Jurisdiction
These Terms and any dispute arising from our relationship shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.
9. Modifications to Terms
Digital Prime Services LLC may update these Terms from time to time. Updated versions will be posted directly to this page with an updated revision date. Continued engagement after modifications constitutes acceptance of the new terms.
